Audit and Compliance for Non-stock, Non-profit Entities
Foundations and NGOs trust us for fund accountability, statutory audit, and donor and regulatory reporting.
What the work involves
A foundation or non-governmental organisation answers to several parties at once: the SEC as a non-stock corporation, the BIR for its tax exemption, and its donors and grantors for the use of their funds. Some are also accredited as donee institutions, so that donations to them are deductible to the donor.
The audit follows the funds. It tests receipts against grant agreements and pledges, disbursements against the purposes for which the money was given, and the balances of restricted funds against the cash that should be holding them.
What needs attention
- Restricted and unrestricted funds. Proper classification, and release of restrictions only when the conditions are met.
- Grants. Compliance with the terms of each agreement, unspent balances and amounts refundable to the grantor.
- Donations in kind. Recognition and valuation of goods and services received.
- Tax exemption. The Certificate of Tax Exemption, and income from activities conducted for profit, which is taxable regardless of how it is used.
- Administrative costs. Allocation between programmes and administration, where donors or accreditation rules set a limit.
Related services
- Agreed-upon procedures on a grant or project fund, reported to the donor.
- Tax compliance, including withholding taxes and the returns an exempt organisation still files.
- Fund accounting and bookkeeping.
- Corporate secretarial assistance with SEC reportorial requirements.
Frequently asked questions
Does a tax-exempt organisation still file returns?
Yes. An exempt organisation files an annual income tax return, withholds and remits taxes on salaries and payments to suppliers, and pays tax on income from activities conducted for profit.
What is the difference between an audit and a donor’s project audit?
The statutory audit covers the financial statements of the whole organisation. A donor may also require a report on its own project, which is usually performed as a separate audit or an agreed-upon procedures engagement on the terms of the grant.
