Standards that apply
Agreed-upon procedures engagements follow PSRS 4400 (Revised). Engagements that touch on tax follow the Tax Code and its regulations; the estate and donor’s tax provisions are in the AAC Tax Code. All engagements are subject to the Code of Ethics for Professional Accountants in the Philippines.
Who needs it
- Grant recipients, franchisees and contracting parties required to submit a report of factual findings.
- Businesses preparing a loan application.
- Families planning the transfer of properties and business interests.
- Employers who have not yet measured or funded their retirement obligation.
- Buyers and sellers of real property who need the taxes and documents of a transfer worked out.
How the work runs
- Scoping. We agree what is to be done, for whom, and in what form the result will be delivered.
- Engagement letter. The scope, the timetable and the intended users of the report are recorded in writing.
- Performance. The procedures are carried out on the records and documents you provide.
- Report. You receive the report or the completed documents, with any matters that need your attention set out.
Agreed-upon procedures in practice
An agreed-upon procedures engagement suits a requirement that is narrower than an audit. Typical cases are the verification of a grant or project fund’s receipts and disbursements, of sales reported under a franchise or lease agreement, of an inventory count, or of compliance with a specific term of a contract. The procedures are written into the engagement letter, and the report lists each procedure beside what was found. Because no opinion is expressed, the users of the report draw their own conclusions from the findings.
Retirement and estate matters
In the absence of a retirement plan or agreement, Republic Act No. 7641 entitles a qualified employee to retirement pay. Employers who have not measured that obligation carry a liability that does not appear in their books. We estimate it, and set out the ways it can be funded.
For families, the transfer of properties is governed by the estate and donor’s tax provisions of the Tax Code. Planning ahead allows the taxes, the documents and the timing of each transfer to be settled while the owners can still decide.
Frequently asked questions
How is an agreed-upon procedures engagement different from an audit?
In an audit, the auditor decides the procedures and expresses an opinion. In an agreed-upon procedures engagement, the parties decide the procedures and the practitioner reports only the factual findings.
What does a bank usually ask for with a loan application?
A company profile, financial statements for recent years, tax returns, and often projections. The list varies by bank and by the size of the loan.
Who may use an agreed-upon procedures report?
The parties who agreed to the procedures, and any other users named in the engagement letter.
When should estate planning start?
While the owners can still decide how the properties and the business are to pass. The estate tax return itself is due within one year from the decedent’s death under Section 90 of the Tax Code.
