Audit and Tax Services for Business Process Outsourcing

We support BPO and shared-services providers with statutory audit, tax compliance, payroll, and controls that keep pace with fast-scaling headcount and client SLAs.

What the work involves

A business process outsourcing company usually earns its revenue under a service agreement with a parent or affiliate abroad, often priced at cost plus a mark-up. Many are registered business enterprises with an investment promotion agency such as PEZA or the BOI, and enjoy incentives under the CREATE Act as amended by CREATE MORE.

The audit therefore looks beyond the income statement. Revenue is tested against the service agreement, the registered activity is separated from any activity that is not registered, and the related party transactions are examined with the transfer pricing rules in view.

What needs attention

  • Revenue and the service agreement. Whether billings follow the pricing formula, and whether costs included in the cost base are the ones the agreement allows.
  • Incentives. The conditions of registration, the income covered by the income tax holiday or the special corporate income tax, and income that falls outside them.
  • Related party transactions. Disclosure in the financial statements, the BIR related party transaction form, and transfer pricing documentation where it is required.
  • Payroll. Night shift differential, holiday pay, statutory contributions and the withholding tax on compensation for a large and fast-changing headcount.
  • Foreign currency. The functional currency of the entity and the translation of foreign currency balances under PAS 21.

Frequently asked questions

Does a registered BPO still need audited financial statements?

Yes. Audited financial statements accompany the annual income tax return and the SEC filing, and are among the reports a registered enterprise submits to its investment promotion agency.

When is transfer pricing documentation needed?

It depends on the size of the entity and of its related party transactions under the BIR’s regulations. We assess this during planning, because the documentation must exist when the return is filed, not when the BIR asks for it.
