SEC MC No. 24, Series of 2026 — mandatory use of the Online Application for Registration Statements (OARS)

Regulatory advisoryIssued 24 August 2026Effective immediately

The Securities and Exchange Commission has issued Memorandum Circular No. 24, Series of 2026, mandating the electronic filing of registration applications for initial public offerings, follow-on offerings, direct public offerings and first-tranche shelf registrations through the Online Application for Registration Statements (OARS). The Circular was issued on 24 August 2026 and took effect immediately.

What the Circular does

  • Manual filing is over for covered applications. Applications for IPOs, follow-on offerings, direct public offerings and first-tranche shelf registrations can no longer be submitted manually or in paper form — they are processed electronically through OARS.
  • A shorter processing window. Applications submitted through OARS carry a streamlined processing timeframe of about 40 days, part of the Commission’s push to reduce red tape, enhance transparency and improve regulatory efficiency for public offerings.
  • An eSECURE account comes first. Filers must hold an active account on the Electronic SEC Universal Registration Environment (eSECURE) before they can initiate or manage a registration on OARS.

Covered types of registration

  • Direct Public Offering (DPO);
  • Shelf Registration (1st Tranche);
  • Follow-On Offering (FOO); and
  • Initial Public Offering (IPO).

What is OARS?

OARS — the Online Application for Registration Statements — is a web-based platform on which companies electronically submit registration statements and the required filings. It captures key company and securities information and facilitates the generation of ISINs, CFIs and FISNs in accordance with ANNA standards.

Getting in, and finding your way around

OARS is reached at oars.sec.gov.ph or through the eSECURE dashboard. On signing in, the dashboard shows the user’s name and eSECURE ID beside three panels: My Companies (the linked companies and requested management updates), Applications (the registration statement filings in progress), and ISIN Request (requests for the generation of an ISIN).
